This worked for me.

Make sure npclient.dll is back in it's usual place.
Run Freetrack as normal.
Lastly, right click a shortcut for GRiD, select Advanced.
Then click "Run as Administrator".
Then as long as you launch GriD from this shortcut, the game will run with full adminstrator privelages.
If you have added the game to Vista's Games Explorer as I have, simply right click the game icon there, select customize (Play is selected). Click Edit, Advanced, "Run as Adminstrator".

I have ran GRiD four times since doing this, and it hasn't failed to load once.
And it plays fine too.
Lastly, if you close down GRiD, or ALT-TAB back to the Desktop, you should see that Freetrack has detected a TrackIR compatible game, and ask for a name for the new profile.
Unfortunately, I cannot test the tracking under GRiD as I haven't built my headset model yet :(

This has worked for me, fine with GRiD(original of course) patched to 1.2, under Vista 32 bit with SP1.

I hope this makes sense.
